These Terms of Service ("Terms") govern the use of the Darplee platform (the "Service"), provided by Darplee S.r.l., registered at Via Cancelliera n. 8/A, 00041 Albano Laziale (RM), Italy, VAT 18601351002 ("Darplee", "we"). By registering or using the Service you fully accept these Terms.
1. Definitions and scope
Darplee is a multi-tenant SaaS platform that allows Amazon sellers to monitor margins, inventory, costs, advertising and product ranking, and to use artificial intelligence features ("Boltee") for analysis and suggestions, through pay-as-you-go credits called "Spark".
2. Registration and account
To use the Service you must register an account providing truthful, up-to-date information (email, company name, login credentials). You are responsible for keeping your credentials confidential and for all activity carried out through your account. Your email must be verified before connecting an Amazon account. Accounts with access to Amazon data require two-factor authentication (MFA), as described in Settings.
3. Service description
The Service is provided "as-is" and "as-available". We strive to ensure continuity and data accuracy, but we do not guarantee the Service is free of interruptions or errors. Basic platform access is free; some AI features are pay-as-you-go (see §5).
4. Connecting your Amazon account
To use the Service's core features you must authorize Darplee to access your Amazon seller account via Amazon's official APIs (Selling Partner API), following Amazon's authorization flow. You remain the sole owner of your Amazon account: Darplee only accesses the data necessary to provide the Service, in compliance with Amazon's Acceptable Use Policy and Data Protection Policy. You can revoke authorization at any time from Settings or from Amazon Seller Central. Notice: Amazon and the Amazon logo are trademarks of Amazon.com, Inc. or its affiliates. Darplee is not affiliated with, sponsored or endorsed by Amazon.
5. Spark and pay-as-you-go AI features
Artificial intelligence features (Boltee) are billed on a pay-as-you-go basis through internal credits called "Spark". Spark can be purchased at a fixed price or via a recurring monthly subscription (see the Spark page in the app for current pricing). Purchased Spark do not expire; subscription Spark accumulate at each renewal. Spark are non-refundable once consumed for an analysis, except in case of a Service malfunction attributable to us.
6. User obligations
You agree to: (a) use the Service in compliance with the law and Amazon's terms of use; (b) not attempt to access other users'/tenants' data; (c) not use the Service for unlawful or fraudulent purposes; (d) keep your credentials secure (including MFA, where required).
7. Intellectual property
Darplee and its software, trademark and content are owned by Darplee S.r.l. or its licensors. Data you import or generate through your account (Amazon data, analyses, configurations) remains your property; you grant us a limited license to process it solely to provide the Service.
8. Limitation of liability
To the extent permitted by law, Darplee is not liable for indirect damages, loss of profits or data arising from use of the Service, nor for business decisions (pricing, advertising, inventory) made based on the Service's analyses and suggestions, which are informational and do not replace the user's judgment. 9. Suspension and termination
You may close your account at any time from Settings. We reserve the right to suspend or close accounts that violate these Terms or Amazon's policies, notifying you when possible. Upon account closure, data is handled as described in the Privacy Policy.
10. Changes to the service and terms
We may update the Service and these Terms. We will give you reasonable advance notice of material changes. Continued use of the Service after a change constitutes acceptance of the new Terms.
11. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute is subject to the exclusive jurisdiction of the court of [registered office city], without prejudice to mandatory consumer-protection rules. [Clause to be validated with legal counsel.]
